Terms of Service

These Terms of Service ("Terms") govern your use of the Morpheus software and related services provided by Morpheus Core ("Morpheus", "we", "us", or "our"). By purchasing a license or using our Service, you agree to these Terms.

1. Definitions

  • "Service" refers to the Morpheus website at morpheuscore.dev, the customer portal, and the license management system.
  • "Software" refers to the Morpheus anomaly detection engine distributed as a Docker image.
  • "License" refers to the cryptographically signed license file that activates the Software.
  • "Customer" refers to the individual or organization that purchases a License.

2. License Grant

Upon purchase of a valid subscription, we grant you a non-exclusive, non-transferable, revocable license to use the Software for your internal business purposes, subject to the limits of your chosen plan tier (Starter, Professional, or Enterprise).

Your License is subject to the following restrictions:

  • The License is granted to your organization and may be used across your internal environments (e.g. development, staging, production).
  • You may not sublicense, resell, distribute, or share access to the Software or your License file with third parties.
  • You may not reverse engineer, decompile, or attempt to extract the source code of the Software.
  • You may not remove or alter any license verification mechanisms in the Software.
  • Usage must remain within the entity, rule, metric, and user limits specified by your plan tier.

3. Subscriptions and Payments

Morpheus licenses are sold as recurring subscriptions billed monthly or annually through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

  • Prices are displayed on our website and may be updated with 30 days' notice.
  • All fees are exclusive of applicable taxes, which will be added at checkout where required.
  • Renewed license files are delivered automatically before your current license expires.
  • Failed payments may result in license non-renewal. We will notify you before any service disruption.

4. Free Trial

We may offer a free trial license upon request. Trial licenses are issued manually and are valid for a limited period (typically 14 to 30 days). Trials are free of charge and do not require a payment method. At the end of the trial, the license expires - there is no automatic conversion to a paid subscription. If you wish to continue using the Software, you may subscribe through the customer portal.

5. Cancellation and Refunds

  • You may cancel your subscription at any time through the customer portal or by contacting us.
  • Upon cancellation, your License remains valid until the end of the current billing period.
  • After the billing period ends, the Software will enter a grace period, after which it will no longer accept new events.
  • Since a free trial is available to evaluate the Software before purchase, all subscription fees are non-refundable once a paid subscription begins.

6. Self-Hosted Software

Morpheus is self-hosted software that runs entirely on your infrastructure. You are responsible for:

  • Providing and maintaining the server environment (Docker, PostgreSQL).
  • Securing your deployment, network, and data.
  • Maintaining backups of your configuration and data.
  • Ensuring your environment meets the minimum system requirements.

We do not have access to your deployment, your data, or any information processed by the Software.

7. AI Features

The Software includes optional AI-powered features that require you to provide your own Anthropic API key. These features are entirely opt-in. When enabled, data from your Morpheus instance is sent directly from your server to Anthropic's API - it does not pass through our systems. Your use of AI features is subject to Anthropic's terms of service and usage policies.

8. Service Availability

We strive to keep the licensing portal and license delivery systems available at all times, but do not guarantee uninterrupted access. The Software itself runs on your infrastructure and is not affected by our service availability. License files are valid offline - temporary unavailability of our Service does not impact running deployments.

9. Intellectual Property

The Software, including its source code, architecture, documentation, and branding, is and remains the exclusive property of Morpheus Core. Your License grants you the right to use the Software, not to own it. All rights not explicitly granted are reserved.

10. Limitation of Liability

To the maximum extent permitted by law:

  • The Software is provided "as is" without warranties of any kind, express or implied.
  • We are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Software or Service.
  • Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
  • We are not responsible for actions taken by the Software based on your configured rules, thresholds, or enforcement settings.

11. Termination

We reserve the right to suspend or terminate your License if you:

  • Violate these Terms, including the license restrictions in Section 2.
  • Engage in fraudulent activity or misuse the Service.
  • Fail to pay subscription fees after reasonable notice.

Upon termination, your right to use the Software ceases immediately. Sections regarding intellectual property, limitation of liability, and governing law survive termination.

12. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the Netherlands. Any disputes arising from these Terms or your use of the Service shall be submitted to the exclusive jurisdiction of the courts in [YOUR_CITY], the Netherlands.
